These Terms of Service (“Terms”) govern your access to and use of the Localinc platform, including the website at localinc.shop, any associated subdomains (e.g., [business].localinc.shop), and related services (collectively, the “Platform”). The Platform is operated by Localinc LLC, a Florida limited liability company doing business as Localinc (“Localinc,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Overview of the Platform

Localinc is a web-based marketplace connecting Vacation Rental Management Agencies (“Agencies”) with Vacation Service Providers (“Providers”) to offer add-on services (e.g., bike rentals, beach chair services, bonfires, concierge services) to vacation rental guests (“Renters”). The Platform provides:

• A marketplace for Providers to list services and Agencies to select services for their branded storefronts.
• Custom, multi-tenant storefronts for Agencies (e.g., benchmark.localinc.shop) and Providers (e.g., peddlers30a.localinc.shop).
• A main Localinc storefront (localinc.shop) for direct-to-consumer bookings.
• Real-time inventory and booking management, powered by third-party payment processors like Stripe.

2. Eligibility

• Age Restriction: You must be at least 16 years old to use the Platform, including to shop or register a business. Users under 18 must have parental or guardian consent.
• Business Eligibility: Agencies and Providers must be legal entities in good standing, with valid business licenses, insurance (where applicable), and a Federal Employer Identification Number (FEIN). Businesses are subject to Localinc’s sole discretion for approval and continued participation.
• User Types:
  • Renters: Individuals booking services through Agency, Provider, or Localinc storefronts.
  • Business Users: Individuals managing Agencies or Providers, with roles including Business Owner (full control over their business), Admin (limited control), or Team Member (restricted permissions).
  • Localinc Users: Employees of Localinc, including Platform Admins with full administrative access.

3. Account Registration

• Account Creation: To use the Platform, you must create an account by providing accurate information, including full name, email, phone number, and address. Business Users must also provide business details (e.g., legal name, FEIN, business license, insurance declaration).
• Payment Information: Business Users must provide valid payment information (processed via Stripe) for potential refunds, chargebacks, or subscription fees (for Agencies, as applicable).
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at info@localinc.shop of any unauthorized access.
• Business Approval: Localinc reserves the right to approve or reject business registrations at its sole discretion. Grounds for rejection or termination include loss of insurance, invalid business license, dissolution, excessive negative reviews, or operating outside South Walton County.

4. Services and Fees

• Platform Services: Localinc provides a marketplace for Providers to list services, Agencies to offer services via branded storefronts, and Renters to book services. Features include real-time inventory management, order tracking, and on-Platform messaging.
• Fee Structure:
  • For bookings through Agency storefronts, Localinc charges a 7.5% platform fee on the Provider’s base price, and the Agency earns a 5% commission. The total booking price includes the base price, platform fee, and Agency commission.
  • For direct bookings through Provider or Localinc storefronts, Localinc charges a 12.5% platform fee on the base price.
  • Agencies joining before October 2025 pay no subscription fee until that date. Thereafter, Agencies may be subject to a monthly subscription fee to maintain a published storefront, as detailed in separate communications.
• Payments: All transactions are processed via third-party payment processors (e.g., Stripe, Square, Shopify). You agree to their terms and conditions, which govern payment processing, refunds, and chargebacks.
• No Price Competition: Localinc will not compete on price with Providers or Agencies for services offered on the Platform.

5. User Conduct and Content

• User-Generated Content:
  • Business Content: Providers and Agencies own the photos, descriptions, and prices they submit for their services and businesses. By submitting content, you grant Localinc a non-exclusive, worldwide, royalty-free license to use, display, and reproduce such content for Platform operations and marketing.
  • Reviews: Reviews submitted by Renters on the Platform are owned by Localinc. Reviews sourced from Google Reviews are subject to Google’s Terms of Service.
  • Order Data: Details of orders and bookings (e.g., transaction records) are owned by Localinc.
• Prohibited Content: You may not submit content that is pornographic, hateful, defamatory, illegal, or otherwise violates applicable laws or Localinc’s policies.
• Prohibited Activities: You may not:
  • Spam, hack, or attempt to disrupt the Platform.
  • Scrape, copy, or extract Platform data (e.g., service listings, images) without permission.
  • Resell or sublicense Platform services.
  • Use the Platform for unlawful purposes or to harm others.
• Compliance: Business Users must maintain valid licenses, insurance, and compliance with local laws. Failure to comply (e.g., loss of insurance, excessive negative reviews) may result in immediate suspension or termination.

6. Intellectual Property

• Localinc’s IP: All Platform content, including logos, slogans (“Elevate every stay”), designs, software, and branding, is the exclusive property of Localinc LLC. You may not use, reproduce, or distribute Localinc’s intellectual property without written permission.
• User IP: Photos, descriptions, and unique branding (e.g., color palettes) submitted by Business Users remain their property, subject to the license granted to Localinc for Platform use.
• Infringement: You may not post content that infringes on third-party intellectual property rights. Localinc may remove such content and terminate accounts for repeat violations.

7. Privacy and Data

• Data Collection: Localinc collects personal data (e.g., name, email, address, phone, payment info) from Renters and Business Users, and business data (e.g., legal name, FEIN, licenses, insurance) from Business Users. Payment information is stored securely via Stripe.
• Data Use: We use data to operate the Platform, process transactions, and improve services. We use Google Analytics for usage insights, subject to Google’s terms.
• Data Storage: Data is stored on AWS S3 and Supabase, primarily in the United States.
• Data Sharing: We share data with third-party processors (e.g., Stripe for payments) and as required by law. See our Privacy Policy for details.
• Data Retention: Upon account termination, user data is retained for 12 months before deletion, unless required by law.

8. Termination

• By Localinc: We may suspend or terminate your account immediately for:
  • Violating these Terms.
  • Failure to maintain valid business licenses, insurance, or good standing.
  • Excessive negative reviews or operating outside South Walton County.
  • Fraud, illegal activity, or other harmful conduct.
• By You: You may terminate your account by contacting info@localinc.shop. Business Users must settle any outstanding payments before closure.
• Effect of Termination: Upon termination, your access to the Platform ends, and data is retained for 12 months. You remain liable for any fees or obligations incurred prior to termination.

9. Limitation of Liability

• As-Is Service: The Platform is provided “as is” without warranties of any kind, express or implied, including for accuracy, reliability, or availability.
• No Liability for Downtime or Loss: To the fullest extent permitted by law, Localinc is not liable for damages arising from service interruptions, data loss, or errors in Platform content.
• Third-Party Interactions: Localinc is not responsible for disputes, damages, or issues arising from interactions between users (e.g., Renters, Agencies, Providers) or with third-party services (e.g., Stripe, Google).
• Liability Cap: Localinc’s total liability for any claim shall not exceed the fees paid by you to Localinc in the prior 12 months.

10. Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
• Arbitration: Any disputes arising from these Terms or Platform use will be resolved through binding arbitration in Walton County, Florida, under the rules of the American Arbitration Association. You waive the right to participate in class actions or class-wide arbitration.
• Costs: Each party will bear its own costs for arbitration, unless otherwise required by law.

11. Third-Party Services

The Platform integrates with third-party services (e.g., Stripe, Square, Shopify, Google Analytics). Your use of these services is subject to their respective terms and conditions. Localinc is not responsible for the performance, availability, or policies of third-party services.

12. Modifications to Terms

Localinc may update these Terms at any time. We will notify users of material changes via email or in-Platform notifications. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

13. Miscellaneous

• Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and Localinc.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Localinc’s failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without Localinc’s consent. Localinc may assign these Terms at its discretion.
